1. Acceptance of Terms

By accessing or using Cadence, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, together with any policies, guidelines, or amendments that may be presented from time to time. Continued use of Cadence following any modification constitutes acceptance of the revised Terms.

2. Authorized Use and Employer Consent

You represent and warrant that:

1. You have the express authorization and consent of your employer or organization, if applicable, to use Cadence in connection with your professional duties;
2. You are authorized to input, upload, or otherwise provide any and all data, client information, or business records you submit to Cadence; and
3. Such submission does not violate any contractual, fiduciary, or confidentiality obligations you may have to any third party.

You agree to indemnify and hold harmless Kaufman Enterprises, LLC, and its officers, directors, employees, contractors, and affiliates from any claim arising out of or relating to your failure to obtain such authorization.

3. Use of Cadence

Your use of Cadence is subject to your continued compliance with these Terms. You agree not to use Cadence for any unlawful purpose or in any manner that could damage, disable, overburden, or impair the Platform or interfere with any other party’s use and enjoyment of it. Unauthorized use may result in termination of access and potential civil or criminal liability.

4. Account Registration

To access certain features of Cadence, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to maintain the confidentiality of your login credentials. You are solely responsible for all activities that occur under your account.

5. Data Protection and Privacy

We are committed to maintaining reasonable safeguards to protect your data. By using Cadence, you consent to the collection, storage, and processing of your information in accordance with our Privacy Policy, which forms part of these Terms. However, no system can guarantee absolute data security, and you acknowledge that you provide information at your own risk.

6. Hold Harmless and Limitation of Liability

To the fullest extent permitted by law, you agree to release, indemnify, defend, and hold harmless Kaufman Enterprises, LLC, its members, officers, employees, contractors, affiliates, and agents (collectively, the “Released Parties”) from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorney’s fees) arising out of or in any way connected with:

1. Your use of or inability to use Cadence;
2. Your violation of these Terms or any applicable law; or
3. Any data loss, unauthorized access, disclosure, misuse, or leakage, whether caused by you, a third party, or factors beyond the reasonable control of the Released Parties.

In no event shall Kaufman Enterprises, LLC be liable for any indirect, incidental, special, consequential, or punitive damages arising from or relating to your use of Cadence.

7. Intellectual Property

All content, design, code, and materials within Cadence—including, without limitation, text, graphics, logos, user interface elements, and software—are the exclusive property of Kaufman Enterprises, LLC or its licensors, and are protected by applicable copyright, trademark, and intellectual property laws. No rights or licenses are granted except as expressly set forth herein.

8. Modifications to Terms

We reserve the right to revise or update these Terms at any time, with or without notice. The most current version will always be posted within the Platform. Continued use of Cadence after any such modification constitutes your acceptance of the updated Terms.

9. Termination

We reserve the right to suspend, restrict, or terminate your access to Cadence at our sole discretion, with or without cause, and without prior notice or liability.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Kansas, without regard to its conflicts of law principles. You agree that any disputes arising under or related to these Terms shall be brought exclusively in the state or federal courts located in Kansas.
